What is the Small Business Restructuring Program?

Small Business Restructuring (SBR) is a formal process introduced under Australian insolvency legislation to help eligible companies experiencing financial difficulties.

It allows company directors to remain in control of day-to-day operations while working with a registered restructuring practitioner to propose a repayment plan to creditors,

including the Australian Taxation Office (ATO).

If creditors approve the plan and the company successfully completes its obligations, eligible company debts may be significantly reduced.

For businesses with a viable future, SBR may offer a pathway to address existing debts while continuing to trade.

Explore how Small Business Restructuring could help your company reduce eligible debts, retain control and continue trading.

Financial challenges don't necessarily mean the end of your business. If your company is experiencing any of the following, it may be worth exploring your options.

  • Outstanding ATO debt or increasing pressure from creditors.

  • Cash flow challenges affecting day-to-day operations.

  • Directors' loans or other financial obligations impacting your business.

  • Concerns about maintaining your QBCC licence while addressing company debt.

  • A need to better understand your tax obligations and available restructuring options.

  • A Director Penalty Notice (DPN) or other ATO recovery action.

Is your company eligible for Small Business Restructuring?

To qualify for Small Business Restructuring (SBR), your company must generally meet these requirements:

  • Business Structure: Registered company (Pty Ltd), including eligible corporate trustees.

  • Company Debt: Total relevant liabilities of $1 million or less, excluding employee entitlements.

  • Financial Position: Insolvent or likely to become insolvent.

  • Employee Entitlements: Due and payable wages, superannuation and other entitlements paid before proposing a plan.

  • Tax Lodgements: Tax returns and BAS lodged, or substantially compliant, before proposing a plan.

  • Previous Restructuring: Must meet the seven-year restrictions on previous SBR or simplified liquidation appointments (exceptions apply).

  • Not Eligible: Sole traders and partnerships without a corporate entity.
